Referral Program Terms

These terms govern the OpexStream referral program. By submitting a referral you agree to them. The program rewards genuine business introductions - not scraped lists or unsolicited contact details. If you do not agree with these terms, please do not submit a referral.
The reward
For a qualifying referral, OpexStream pays 10% of the initial engagement fee we actually collect from the referred client, capped at $5,000 per referred client. The commission applies to the initial assessment and optimization engagement only. It does not apply to subsequent monitoring, maintenance, support, or any recurring or renewal fees unless OpexStream agrees otherwise in writing.
"Initial engagement fee" means the fees invoiced for the initial assessment and optimization project identified in the first client agreement, excluding taxes, expenses, and third-party or pass-through costs.
When a commission is earned
A commission becomes payable only when all of the following are true:
- You made a valid introduction or submitted a referral that OpexStream accepted.
- The company was not already an OpexStream client or an active OpexStream opportunity.
- The referred company signs an initial engagement with OpexStream.
- OpexStream receives payment from that client for the commissionable initial engagement.
No client payment means no commission is due. Where a client pays the initial engagement in installments, we may pay the commission proportionally as payments are received, or after the initial engagement has been paid in full.
What counts as a qualified referral
A qualified referral is a genuine introduction, not simply a company name or scraped contact details. A strong referral typically includes the company and a relevant decision-maker (such as a CTO, CFO, COO, Head of Infrastructure or Engineering, DevOps or FinOps lead, or founder), context on where you believe money is being wasted, an approximate infrastructure spend where known, and a warm introduction or your permission for us to make contact. You do not need to perform the sale; your role is to create a credible connection.
Eligibility and conflicts of interest
You are responsible for ensuring that accepting a referral reward is permitted under your employment agreement, your employer's and the referred company's policies, procurement rules, any fiduciary obligations, and applicable law. We do not, by default, pay a reward to an employee for referring their own employer, as this can create a conflict of interest or an unlawful kickback. Where such a referral is nonetheless appropriate and permitted, the reward may instead be waived, paid to an eligible company or consultancy you control, donated to an agreed charity, or credited to the referred company. OpexStream may refuse or cancel any reward where paying it could create a conflict of interest or a legal or compliance concern.
Your responsibilities on data you share
When you submit a referral you confirm that you have a genuine relationship with the company and that you are permitted to share the contact details you provide. Please do not share confidential documents or information you are not entitled to disclose. We handle referral data in line with our privacy policy, and a referred contact may ask us to access or delete their information.
Duplicate and existing opportunities
A referral will normally be ineligible if:
- The company is already an OpexStream client.
- OpexStream is already actively engaged or negotiating with the company.
- The company is already recorded as an active OpexStream opportunity.
- Another referrer has already registered the same opportunity.
- The submission is publicly available information without a meaningful connection.
Where more than one person claims the same introduction, OpexStream retains reasonable discretion to determine which referral materially created the opportunity. Referral registrations may expire after six months if no meaningful sales activity has occurred.
Payment terms
- Commission: 10% of the initial engagement fee collected, capped at $5,000 per referred client.
- Trigger: OpexStream receiving payment from the client for the initial engagement.
- Excluded: ongoing monitoring, maintenance, support, and recurring or renewal revenue.
- Excluded: existing clients and existing active opportunities.
- Timing: commission is paid within 30 days of OpexStream receiving both the applicable client payment and any required invoice and payment details from you.
- Currency: where a client pays in a currency other than USD, the commission and the $5,000 cap are calculated on the USD equivalent, using a reasonable prevailing exchange rate on the date OpexStream receives the client payment.
- Payout method: Wise or bank transfer only. We do not pay via PayPal.
- You are responsible for your own taxes, and you may need to invoice OpexStream for the commission.
- Before paying, we may need to collect identity, tax, and payment information required by law, and payment remains subject to applicable law, sanctions, and anti-bribery requirements.
Prohibited conduct
The following are not permitted and may result in referrals being rejected and commissions withheld:
- Fabricated referrals, self-referrals, or referrals created primarily to circumvent these rules, or impersonating employees or decision-makers.
- Scraping and mass-submitting company or contact information.
- Sending spam in OpexStream's name, or misrepresenting our services, pricing, or guarantees.
- Offering unauthorized incentives to client decision-makers or manipulating procurement processes.
- Multiple people attempting to claim the same introduction.
- Referrals obtained through unlawful access to confidential company information.
No agency relationship
Participating in this program does not make you an employee, agent, representative, reseller, partner, or joint venturer of OpexStream. You have no authority to make offers, promises, guarantees, or commitments on OpexStream's behalf, or to otherwise bind OpexStream.
Program changes
This is a discretionary program. OpexStream may change, pause, or end it, or update these terms, at any time. The date at the top shows when these terms were last changed. Changes do not affect a commission that has already become payable under the terms in force when the referral was accepted.
Governing law
These terms are governed by the laws of Estonia, and any disputes will be subject to the exclusive jurisdiction of its courts. This program is operated by Fracturelabs OU.
